1. Acceptance of Terms

By accessing or using the Inquiru platform ("Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to all of these Terms, do not access or use the Service. These Terms apply to all users, including businesses and their representatives who register for an account.

2. Description of Service

Inquiru provides an AI-powered customer support platform that enables businesses to deploy intelligent support agents, manage conversations, integrate with third-party tools, and analyse support performance. The Service is provided on a subscription basis and is subject to the plan limits associated with your chosen plan.

3. Account Registration

To use the Service you must register for an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account.

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organisation.

4. Acceptable Use

You agree not to use the Service to:

Violate any applicable laws, regulations, or third-party rights
Transmit harmful, fraudulent, deceptive, or abusive content
Attempt to gain unauthorised access to any part of the Service or its infrastructure
Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service
Resell or sublicense the Service without our prior written consent
Use the Service to develop competing products or services
Overload or disrupt the Service or its associated systems

5. Subscription & Billing

Access to paid features of the Service requires a paid subscription. Subscriptions are billed in advance on a monthly or annual basis depending on your selected plan. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

We reserve the right to change pricing at any time. We will provide at least 30 days' notice of any price changes. Continued use of the Service after a price change constitutes acceptance of the new pricing.

If payment fails, we may suspend or terminate your access to paid features until the outstanding balance is settled.

6. Intellectual Property

Inquiru and its licensors retain all intellectual property rights in the Service, including all software, designs, text, and data. Nothing in these Terms grants you any ownership rights in the Service.

You retain ownership of all content and data you submit to the Service ("Customer Data"). By submitting Customer Data, you grant us a limited, non-exclusive licence to process that data solely to provide and improve the Service.

7. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We process personal data in accordance with applicable data protection laws.

Where Inquiru processes personal data on your behalf as a processor (or operator under POPIA, or service provider under CCPA), our Data Processing Agreement applies and is incorporated into these Terms by reference. A signed counterpart is available on request.

You are responsible for ensuring that any personal data you submit to the Service is done lawfully, including obtaining necessary consents from your end users.

8. AI-Generated Content

The Service uses large language models to generate responses on your behalf. You acknowledge that AI-generated content may occasionally be inaccurate, incomplete, or inappropriate. You are solely responsible for reviewing, approving, and taking responsibility for any content delivered to your customers through the Service.

We do not guarantee the accuracy, reliability, or fitness for purpose of any AI-generated output.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INQUIRU SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Termination

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms or if we reasonably believe your use of the Service poses a risk to us, other users, or third parties. Upon termination, your right to use the Service ceases immediately.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in the jurisdiction where Inquiru is incorporated.
